PURE SUPPLY, INC. SALE OF GOODS TERMS AND GENERAL CONDITIONS

1. ACCEPTANCE
Receipt of CC information is considered to be an order of Sale for Pure Supply, Inc. and is also considered to be acknowledgement of payment obligation by Purchaser in the amount identified on final sales receipt. Pure Supply assumes the obligation to provide the articles, materials, or supplies, hereinafter called “materials” with this Sale, and it shall constitute acceptance by Purchaser of this Sale in accordance with these General Conditions.
2. RETURN POLICY
Pure Supply works under a 20% restocking fee policy where as any items returned after shipment from Pure Supply, Inc. or any other premises of inventoried goods sold by Pure Supply are subject to a 20% restocking fee. Restocking is also subject to additional shipping charges that will be the responsibility of the Purchaser. Pure Supply reserves the right to reject any return of materials purchased, or to modify the restocking fee if deemed necessary for special or non-restockable orders. Pure Supply does not agree to accept any returned item unless a “Returned Goods Authorization” or RGA # has been issued to the Purchaser by Pure Supply, Inc.
3. SHIPPING
Shipping weights have been provided in our online store as estimated weights. While the provided weights are very close to accurate, on orders with large quantities, Pure Supply reserves the right to charge the purchaser for coverage of additional shipping costs. Shipping cost are subject to change according to UPS and market fluctuations. For overseas shipments, or shipments to other countries, please contact Pure Supply Directly for shipping guidance. 4. TERMINATION
Pure Supply reserves the right, without liability to terminate all or any part of the foregoing Sale, in the event of the happening of any one or more of the following: (a) Insolvency of Purchaser, the filing of a voluntary petition in bankruptcy by Purchaser, the filling of an involuntary petition to have Purchaser declared bankrupt, the appointment of a receiver or trustee for Purchaser, the execution by Purchaser of an assignment for the benefit of creditors. (b) If Seller has reasonable grounds for insecurity with respect to Purchaser’s requests. (c) If Purchaser breaches any of the terms herein, including the warranties of Seller;
5. APPLICABLE LAWS
These General Conditions and the foregoing Sale are executed by Purchaser and Seller with reference to the laws of the State of Kentucky and the rights of Purchaser and Seller and the validity, construction, and effect of every provision hereof and, of the foregoing Sale shall be subject to and construed according to the laws of Kentucky.
6. COMPLIANCE WITH LAWS
Purchaser shall fully comply with all applicable federal, state and local laws, rules, regulations, or ordinances, and shall hold Seller harmless from all liability resulting from its failure to so comply. It is the Purchasers responsibility to ensure and/or verify compliance.
7. WARRANTIES
All material and equipment purchased hereunder are subject to manufacturer warranties. Pure Supply is not responsibly for product failure and seller shall hold Pure Supply harmless in regards to product failure or any damage caused by product failure.
8. REMEDIES
The remedies herein reserved to Pure Supply shall be cumulative and additional to any other or further remedies provided in law or in equity, and no waiver by Pure Supply of a breach of any provision of the foregoing Sale and these General Conditions shall constitute a waiver of any other breach of such provision of any other provision.
9. ASSIGNMENTS
Any assignments of rights or delegations of duties by Purchaser arising out of, based upon, or connected with the foregoing Sale and these General Conditions without the prior consent of Pure Supply shall be absolutely void.
10. MODIFICATIONS
No condition, representation, or agreement altering, detracting from, or adding to the terms of the foregoing Sale shall be valid unless such condition, representation, or agreement is in writing and approved by the Buyer and by an executive officer of Pure Supply.
11. GENERAL
(a) In the event of a conflict between the terms and conditions of the foregoing Sale and the terms and conditions stated in the plans and specifications submitted either with it or hereafter prepared by the parties, the foregoing Sale shall govern. (b) In the event of a conflict between the terms and conditions of the foregoing Sale shall govern. (c) As used herein the “Seller” named Pure Supply, Inc. and the term “Purchaser” means the person or entity for whom all goods are sold in the foregoing Sale.
